The US Treaty of Amity and Economic Relations Between the Kingdom of Thailand and the United States of America, signed on May 29, 1966, stands as a significant agreement fostering economic cooperation between the two nations. This treaty has played a crucial role in facilitating business activities for American citizens and companies in Thailand, allowing them certain privileges and exemptions to operate on par with Thai nationals.

One of the key provisions of the The US Treaty of Amity is that American citizens and businesses incorporated in the United States or Thailand have the opportunity to maintain majority shareholding or wholly own a company in Thailand. This provision is particularly noteworthy, as it grants American entities the ability to engage in business within the country without being subjected to many of the restrictions on foreign investment imposed by the Thai Foreign Business Act of 1999.

The The US Treaty of Amity outlines specific fields of business in which Thailand imposes restrictions on American investment. These include communications, transportation, fiduciary functions, banking involving depository functions, land ownership, land exploitation, and exploitation of other natural resources, as well as domestic trade in agricultural products. While these restrictions exist, the treaty ensures that American businesses operating in other sectors can do so with a level of autonomy that is not typically afforded to foreign entities.

Firstly, at least fifty-one percent of shares in the company must be owned by American citizens. Additionally, at least fifty percent of the company’s directors must be American citizens.
